This document outlines the Terms of Business (the "Agreement") for [Key Business Professions Limited] ("we", "us", or "our"). By engaging with us for commercial finance brokering services, you agree to the terms and conditions set out in this Agreement.

1.1. Company Overview

Key Business Professions Limited is a commercial finance broker offering a range of intermediary services to businesses seeking finance solutions. We are not regulated under the Consumer Credit Act 1974 (CCA) and do not undertake CCA-regulated activities.

1.2. Applicability of Terms

These Terms of Business apply to all engagements, transactions, and interactions between you and us.

2. Our Services

2.1. Role as Intermediary

We act as an intermediary to connect businesses with appropriate finance providers based on the Client’s needs.

2.2. Scope of Services

Our services include, but are not limited to:

 Presenting funding options.

 Introducing Clients to potential finance providers.

 Assisting with the finance application process.

2.3. Limitations

We facilitate introductions between the Client and finance providers. We do not provide financial advice regulated under the Financial Services and Markets Act 2000 (FSMA).

3. Data Protection

3.1. Compliance with Data Protection Legislation

We are committed to protecting your personal data in accordance with the UK Data Protection Act 2018 and the General Data Protection Regulation (GDPR). We collect, process, and store personal data solely for the purpose of delivering our services.

3.2. ICO Registration

We are registered with the Information Commissioner’s Office (ICO), under registration number ZB862865, ensuring compliance with all relevant data protection legislation.

3.3. Marketing and Communication Preferences

We will only use your contact details to communicate about the services we provide and will never share your data with third parties for marketing purposes without your explicit consent. If you wish to receive marketing communications, you may opt-in, and you can opt- out at any time by contacting us.

3.4. Data Sharing and Security

We may share your data with potential finance providers or other third parties involved in providing services or completing transactions. Your data will always be processed and stored securely and handled with care.

4. Complaints Procedure

4.1. Commitment to Handling Complaints

We are committed to resolving any concerns or complaints fairly, transparently, and efficiently.

4.2. Filing a Complaint

We will acknowledge your complaint within 5 business days and aim to resolve it within 8 weeks.

4.3. Escalation

If you are unsatisfied with our response or the resolution of your complaint, you may escalate the matter to the Financial Ombudsman Service (FOS) or another relevant body. Please note, as we do not undertake CCA-regulated activities, FOS may not have jurisdiction over all matters.

5. Marketing and Communications Preferences

5.1. Marketing Communication

We may contact you regarding our services, new offerings, or industry updates. However, you can opt out of such communications at any time. We will respect any opt-out request within 5 business days.

5.2. Direct Marketing

If you have previously engaged with us, we may send marketing communications based on our legitimate interests in maintaining our business relationship. These communications may include email, phone calls, or other channels as applicable.

5.3. Suppression Requests

If you wish to opt-out of direct marketing or have your contact details suppressed from our records, please contact us at [email protected].

6. Your Responsibilities

6.1. Accuracy of Information

You must provide accurate, complete, and up-to-date information to us and potential finance providers. We will not be liable for any loss or damage arising from inaccurate or incomplete information.

6.2. Obligations in Relation to Introductions

You agree to act in good faith with any finance provider introduced and to comply with the terms of any finance agreement resulting from our introduction.

7. Arrangement Fees and Introductory Commissions

7.1. Arrangement Fees

If we charge an arrangement fee, it will be disclosed at the outset of our engagement. Fees may be based on a percentage of the loan amount or a fixed fee, as agreed in writing prior to any transaction.

7.2. Payment of Arrangement Fees

Any Fees charged pursuant to 7.1 are due upon successful introduction to a finance provider or upon completion of a finance agreement, depending on the terms agreed at the outset. All fees are exclusive of VAT, which will be charged where applicable.

7.3. Introductory Commissions

We may receive an introductory commission from the finance provider(s) upon a successful introduction. The amount may vary based on the finance agreement entered into between you and the finance provider. If required, either by prevailing legislation or by the finance provider to whom we introduce you, we will disclose to you the amount of commission we receive.

8. Limitation of Liability

8.1. Exclusion of Liability

We will not be liable for any indirect, consequential, or special losses, including loss of profit, revenue, or opportunity, arising from our services.

8.2. No Guarantee of Finance

We do not guarantee the successful acquisition of finance or specific terms. Our role is to facilitate introductions to finance providers, but final approval rests with the finance provider.

9. Termination

9.1. Termination by you

You may terminate this Agreement at any time, with immediate effect, subject to payment of any outstanding fees for services provided until termination.

9.2. Termination by Us

We reserve the right to terminate this Agreement if you breach any of the terms or acts in a manner contrary to the purpose of the Agreement.

10. General Terms

10.1. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.

10.2. Severability

If any part of these Terms is found to be invalid or unenforceable, the remainder will continue in full force and effect.

10.3. Entire Agreement

These Terms of Business constitute the entire agreement between you and us regarding our commercial finance brokerage services and supersede all prior communications, agreements, or understandings.
